Terms and Services Agreement
This Terms and Conditions Agreement (“Agreement”) is entered into between VisionStreamProduction Agency (“Agency”) and the client (“Client”) for the provision of social media marketing services. By engaging our services, the Client agrees to be bound by the terms and conditions outlined below:
1. Services Provided: The Agency agrees to provide social media marketing services as outlined in the agreed-upon service package, which may include but is not limited to content creation, platform management, advertising campaigns, and analytics reporting.
2. Subscription-based Service: The services provided by the Agency are subscription-based and will be billed on a recurring basis, either monthly or as specified in the agreed-upon package. Payment is due in advance before the commencement of each billing cycle.
3. No Cancellation Until After 1 Month: The Client acknowledges that no cancellation of the services will be allowed until after the first month of the subscription has been completed. After the initial month, either party may terminate the agreement by providing a written notice of cancellation to the other party.
4. No Refunds: The Client understands and agrees that all fees paid to the Agency are non-refundable. The Agency does not provide refunds for any reason, including but not limited to early termination, dissatisfaction with results, or changes in marketing strategy.
5. Results Vary Depending on Niche: The Agency will make reasonable efforts to achieve the desired results as agreed upon with the Client. However, the Client acknowledges that results may vary depending on the specific niche, industry, target audience, and other external factors. The Agency does not guarantee specific outcomes or levels of success.
6. Client Obligations: The Client agrees to provide accurate and up-to-date information necessary for the provision of the services. This includes but is not limited to access to social media accounts, branding materials, and relevant content. The Client also agrees to promptly respond to any requests or inquiries from the Agency.
7. Intellectual Property: Any intellectual property rights related to content, designs, or strategies created or provided by the Agency during the provision of the services shall remain the property of the Agency, unless otherwise agreed upon in writing. The Client shall have a non-exclusive, non-transferable license to use such intellectual property solely for their own marketing purposes.
8. Confidentiality: The Agency agrees to keep all information received from the Client confidential and not to disclose or use such information for any purpose other than the provision of the agreed-upon services. This obligation shall survive the termination of this Agreement.
9. Limitation of Liability: The Agency shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the provision of the services, including but not limited to loss of profits, loss of data, or loss of business opportunities.
10. Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction]. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in [Your Jurisdiction].
11. Entire Agreement: This Agreement constitutes the entire agreement between the Agency and the Client and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
12. “Bots” and Increased Traffic: The Agency acknowledges that as part of our social media marketing services, it is inevitable that the Client’s account may be followed by accounts that are generated by automated systems commonly referred to as “bots.” These bots are a result of the increased traffic and exposure that our marketing strategies aim to generate. While we employ measures to minimize the presence of such accounts, the Agency cannot guarantee their complete elimination.
13. Goal of Increased Reach and Business Enhancement: The Agency’s primary objective is to increase the Client’s reach and enhance their business through our marketing strategies. These strategies may include organic growth, targeted advertising, engagement campaigns, and content optimization. The results and effectiveness of these strategies may vary depending on factors such as the nature of the Client’s niche, industry trends, and social media platform algorithms.
By engaging our services, the Client acknowledges that they have read, understood, and agreed to all the terms and conditions outlined in this Agreement.
